What the service will cover
  • A review of your corporate structure and supporting documentation.
  • A 30-minute telephone call to answer your questions.
  • An email response to follow the telephone call summarising the findings, your options and a fixed price quote for any optional additional work you may choose to instruct us on further.
What the service excludes
  • Assistance with implementation of the action plan and any findings (this could be filings, drafting and negotiating shareholders agreements, discussions with your finance parties, or business partners or drafting any other related share transfer or other acquisition documents).
  • Due diligence of your business operations.
  • Any further items outside the scope of the ‘Included’ description above.

The service is offered under the assumption that:

  • If the information is not apparent, or available on your website, you will be able to provide us with a description of your business and products/services and relevant arrangements already in existence.
What you need to provide
  • A description of your business and products/services sold.
  • Specific points you wish to raise or clarify relating to your corporate structure or your future plans which may affect your decisions.
  • A copy of your Articles of Association, Shareholders Agreement, any grants provided or any other information you would like us to review in this context.
  • The first step after the purchase will be to provide verification of your identity and supply the following documentation so your adviser can carry out their ‘Know Your Customer’ (KYC) and ‘Anti-Money Laundering’ (AML) checks. Please have the following at hand but note that this may not be a complete list:
    • Company name, VAT number (if applicable), registration number
    • Key contacts and associated contact details including email and mobile
    • The names and home addresses of all directors
    • Home utility bill (no more than 3 months old) and passport for every person who owns or controls more than 25% of the voting rights of your business
    • Name of signatory Designation
